Neutrally Membership Agreement

Welcome

Welcome to Neutrally (“we”, “us”, or “our”). This Membership Agreement (“Agreement”) governs your access to and use of the Neutrally service available at https://goneutrally.com (the “Service”). By subscribing to or using the Service, you (“you”, “your”, or “Member”) agree to be bound by this Agreement.

1. Membership Overview

Neutrally provides an ongoing carbon offset subscription service. Members complete a short vehicle and driving questionnaire, after which Neutrally estimates their vehicle’s greenhouse gas emissions and arranges the purchase and cancellation of verified carbon offsets (“Offsets”) to counterbalance those estimated emissions.

2. Membership Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to subscribe. By subscribing, you represent and warrant that the information you provide is true, complete, and accurate.

3. Subscription and Billing

  • Membership is billed monthly in advance via the credit card on file.
  • By subscribing, you authorize Neutrally (and our payment processor) to automatically charge your payment method each billing cycle until cancellation.
  • You may cancel your subscription at any time through your account portal.
  • Cancellation takes effect at the end of your current billing period, and no refunds or partial credits are issued for unused portions of a billing cycle.

4. Nature of Offsets

  1. Sole Discretion: Neutrally retains sole and absolute discretion regarding what types of carbon credits, Certified Emission Reductions (CERs), or other environmental instruments (“Offsets”) are acquired and retired to fulfil our obligations under this Agreement.
  2. Basket Approach: Offsets are sourced through a diversified “basket” of projects and providers. The geographic distribution, project types, technologies, and methodologies used may change from time to time, at Neutrally’s sole discretion.
  3. Offset Sources: Neutrally may purchase or cancel Offsets from any recognized registry or provider, including but not limited to the UN Clean Development Mechanism (CDM), the Verified Carbon Standard (Verra), the Gold Standard, or any other programs or providers deemed appropriate by Neutrally.
  4. Timing of Cancellations: Offsets may be cancelled in advance or in arrears, at Neutrally’s discretion. If cancelled in advance, Neutrally may maintain an inventory of pre-cancelled Offsets. If cancelled in arrears, Neutrally will ensure all required Offsets are cancelled no later than the end of the following calendar quarter.
  5. Name of Cancellation: Offsets will be cancelled in the name of Neutrally, its affiliated entities, or in any other manner deemed appropriate by Neutrally. Offsets are not cancelled in the name of individual Members.
  6. Certificates: Neutrally may issue proprietary certificates to Members to illustrate proportional allocation of Offsets. These certificates are illustrative only and do not represent legal ownership or title to any specific Offset.

5. Emissions Estimates

All emissions calculations and offset amounts provided by Neutrally are estimates only. Actual emissions may vary. Neutrally does not guarantee or warrant the accuracy, completeness, or suitability of any emissions estimates or Offset quantities.

6. Use of the Service

You agree not to misuse the Service, attempt unauthorized access, or engage in any activity that could damage or impair Neutrally’s operations or reputation. We reserve the right to suspend or terminate your account if misuse occurs.

7. Intellectual Property

All content, trademarks, and materials on goneutrally.com are owned by Neutrally or its licensors. You may not copy, modify, or distribute any part of our content without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law:
– Neutrally is not liable for indirect, incidental, or consequential damages, including loss of profits, goodwill, or data.
– Neutrally’s total liability shall not exceed the total amount paid by you in the three (3) months preceding the claim.

9. No Warranties

The Service is provided “as is” and “as available.” Neutrally makes no representations or warranties of any kind, express or implied.

10. Termination

Neutrally may terminate or suspend your membership at any time, with or without cause, by providing notice to you. Sections relating to intellectual property, limitations of liability, and governing law will survive termination.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. You agree that any disputes will be resolved in the courts located in Calgary, Alberta.

12. Amendments

Neutrally may update or modify this Agreement from time to time. The updated version will be posted on our website with a revised effective date. Continued use constitutes acceptance of the revised terms.
